I am writing to request the Legisla tive Ethics Commi tt e e t s

re v i e w and opinion regarding my pros pective participation in the
pr i v a t e business relationship described below. It is my in ten tion
to engage in the activities listed unless advised to the con trary
by the Committee.

I have been offered a part-time position with McGinn,

Smi t h & Co., Inc., an investment bankin g firm located in Albany,
Ne w York. My res ponsibilities, as c u r re n t l y envisioned, would
be to assist in al l areas of the f irm ' s investment banking
a c t i v it i e s , advise co r porate clients on issues relating to marketjng,
f i n a nce a nd corpor a t e structure, p a rticipate in the engagement of
a s s e t man a ge me n t relationships with institutional investors and
p ro v i d e advice and counsel to senior members of the firm. Monetary
compensation will be paid in the form of a s t raight salary.

As you are aware, I have recently ended my a ffi l i a t i o n with

a company with which I was associated, in various positions, for
ove r 25 years. I b e l ieve that the proposed business rela tionship
whi ch is the subject o f this correspondence will provide me an
o pportunity to continue my involvement in the business world and
us e ful l y employ the knowledge and ex p erience which I have garnered
du ring my business c ar e er.
