Friends of Occupy Portland Board of Directors Wednesday, February 5, 2014; 5:30 p.m.

members present: Michael Wade, Jack DePue, Sarah-Andrea Morrigan, William Wheeler (via phone) others present :Daniel Hong absent: Charles Johnson Board business items - discussions and actions 1. Insurance coverage Sarah met with Ryan T. Miller, of Miller Insurance in Tualatin, discussed options. General liability coverage may run approximately $500 a year, while a directors and officers coverage may incur additional $900 to $1100 a year. Philadelphia Insurance Companies specializes in many niche markets and offers products that may meet our needs. Philadelphia has a local office at the Bridgeport Village. Monthly expenses could be an additional $140; the insurance premium can be monthly installment if total is over $2000 per annum, otherwise it would be annual payment. The board discussed the roles of this corporation and functions it plays within the larger movement. Comparisons and clarifications are made between various internal pretentions/fictions around the nature and alleged structure of this corporation, and how the outsiders see it from a legal and objective perspective. Ultimately what is purchased or leased using FOOP funds and FOOP name are functions of this corporation, and accordingly the corporation and the board can be held liable for whatever that happens. The board approved (unanimously) to pursue seeking coverage with Philadelphia. 2. Annual budget and fundraising plan Sarah presented a draft proposal for a 2014 annual budget, primarily as a way to project expenditures and plan for a long-term fundraising. As it was presented as a draft no action was taken. 3. Proposal for amendments to FOOP bylaws (proposed changes with explanatory notes attached) Approved unanimously 4. Nomination of Daniel Hong and Portia Norton to directors positions

Daniel Hong: Approved unanimously Portia Norton: Approved (yea 3, abstain 1) Meeting adjourned at 6:57 p.m. Minutes reported by Sarah A. Morrigan
